1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the website located at techguruacademy.com and any related content, courses, training programs, labs, communities, newsletters, videos, downloadable materials, and services (collectively, the "Services") offered under the brand TechGuru Academy ("TechGuru," "we," "us," or "our"). The Services are operated by Strauss Holdings LLC, a Wyoming limited liability company. By accessing the website, submitting a form, subscribing to communications, or otherwise using our Services, you agree to be bound by these Terms and by our Privacy Policy, incorporated herein by reference. If you do not agree, do not use the Services.
2. Eligibility
You must be at least eighteen (18) years old to use the Services. If you are between sixteen (16) and eighteen (18) and participate in a training program with parental or guardian consent, that consent must be documented. If you access the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers both to you personally and to that entity.
3. Nature of the Services
TechGuru Academy provides B2B technical training in telecommunications and related technologies. The website currently operates primarily as a lead-generation and information channel: you may browse content, request information, subscribe to communications, and engage with our team about corporate training engagements. From time to time we may activate direct-purchase options, individual course enrollment, or subscription-based access to online training. When we do, additional purchase-specific terms will be presented to you at the point of enrollment and will apply in addition to these Terms.
4. Vendor Content, Partnerships, and Certifications
TechGuru operates as an authorized training partner for various technology vendors, including but not limited to Huawei (as a Huawei Authorized Learning Partner, "HALP"), Nokia, ZTE, and Klabs. Certain courses, materials, labs, simulators, and examinations available through the Services are the intellectual property of these vendors and are made available to you under sub-license from the vendor to TechGuru. Your use of vendor-owned materials is also subject to the terms and conditions established by the applicable vendor. Official professional certifications associated with vendor programs are issued by the vendor, not by TechGuru. TechGuru delivers the training and preparation content but does not issue vendor certifications, does not guarantee that you will pass any certification examination, and does not guarantee that any certification you obtain will result in employment, promotion, contract award, or any other professional outcome. Any statements about employability, job placement, or career progression made in our marketing materials are illustrative and not guarantees.
5. Corporate Training Agreements
Where TechGuru delivers training to a company or organization under a Statement of Work, Master Services Agreement, purchase order, or other written commercial agreement (each, a "Commercial Agreement"), the terms of that Commercial Agreement shall govern the specific engagement and shall prevail over these Terms in the event of any conflict. These Terms will continue to apply to your general use of the website and to any Services not covered by a Commercial Agreement.
6. Account Registration and Communications
To access certain Services, download materials, or receive communications, you may need to provide contact information or register an account. You agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. When you subscribe to our newsletters, product updates, or educational communications, you may opt out at any time using the unsubscribe link in our emails or by contacting us at hello@techguruacademy.com.
7. License to Access Content
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and the content made available to you for your own individual professional development, or, in a B2B context, for the internal training use of the organization that engaged us. This license does not include any right to (a) resell, redistribute, sublicense, or publicly display the content; (b) share your login credentials with any third party; (c) use the content to create a competing product, service, or training program; (d) copy, modify, translate, reverse-engineer, or create derivative works; (e) share, export, or extract vendor labs, simulators, examination content, or associated materials outside the platforms authorized by the vendor and TechGuru; or (f) use any automated system to access, scrape, or download content.
8. Intellectual Property
All content made available through the Services — including but not limited to text, graphics, logos, trademarks, videos, audio, course materials, methodologies, software, and design — is owned by Strauss Holdings LLC or its licensors, including vendor partners, and is protected by U.S. and international copyright, trademark, and other intellectual property laws. The names "TechGuru Academy" and associated logos and marks are trademarks of Strauss Holdings LLC. Vendor marks (including Huawei, Nokia, ZTE, Klabs, and others) are the property of their respective owners and are used under authorization. No rights are granted to you other than the limited license expressly stated in Section 7.
9. Prohibited Uses
You agree not to use the Services to: (a) violate any applicable law or regulation, including telecommunications, export control, or intellectual property laws; (b) infringe the rights of any third party, including any vendor partner; (c) upload or transmit any material that is unlawful, defamatory, harassing, obscene, or otherwise objectionable; (d) impersonate any person or misrepresent your affiliation with any organization; (e) interfere with or disrupt the Services, servers, labs, or simulators; (f) attempt to gain unauthorized access to any portion of the Services or to any vendor system; (g) extract, copy, share, or redistribute vendor-owned materials, labs, simulators, or examination content in any form; (h) hold yourself out as certified by a vendor without having obtained the corresponding official vendor certification; or (i) use the Services to solicit clients or promote competing training services. Violation may result in immediate suspension or termination, in notification to the affected vendor, and in additional legal action.
10. User Content
If the Services include a community area, forum, chat, comment feature, or lab submission function, you retain ownership of the content you submit ("User Content"). By submitting User Content, you grant Strauss Holdings LLC a worldwide, royalty-free, non-exclusive, perpetual, sublicensable license to use, reproduce, modify, publish, and display such content in connection with the Services. You represent that you own or have the necessary rights to your User Content and that it does not violate these Terms or any third-party rights. We may remove User Content and suspend users at our discretion.
11. Third-Party Services and Links
The Services may contain links to third-party websites, vendor portals, learning management systems, or tools. We do not control and are not responsible for third-party content, products, or services, and we do not endorse them. Your interactions with any third party are solely between you and that third party.
12. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, or accuracy of content. We do not warrant that the Services will meet your requirements, that any training program will result in certification, employment, promotion, or specific technical outcomes, or that vendor content will remain available. Any reliance on the Services is at your sole risk.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Strauss Holdings LLC, its affiliates, or their respective officers, directors, employees, contractors, or vendor partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with your use of the Services, whether based on contract, tort, strict liability, or any other legal theory, even if advised of the possibility of such damages. For customers under a Commercial Agreement, the limitation of liability set forth in that agreement shall govern. For all other users, our aggregate liability arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
14. Indemnification
You agree to indemnify, defend, and hold harmless Strauss Holdings LLC, its affiliates, vendor partners, and their respective officers, directors, employees, and contractors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any vendor's intellectual property rights; or (d) any content you submit through the Services.
15. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including any breach of these Terms. Upon termination, your license to use the Services ends immediately. Sections 7 through 18 will survive termination.
16. Modifications
We may modify these Terms at any time by posting the revised version on our website and updating the "Last updated" date. Material changes will be communicated by email or in-product notice where feasible. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your general use of the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Casper, Wyoming, and conducted in English. Each party waives any right to a jury trial and to participate in a class action. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights. Where a specific Commercial Agreement includes its own governing law and dispute resolution clauses, those provisions shall govern disputes arising from that Commercial Agreement.
18. Miscellaneous
These Terms, together with the Privacy Policy and any applicable Commercial Agreement, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them freely.
